By accessing or using Doxsia ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MINELVA ("we," "our," or "us"), the owner company of Doxsia. Please note: Doxsia is a service provided by MINELVA.
By using the Service, you represent that:
- You are at least 16 years of age
- You have the legal capacity to enter into binding contracts
- You will comply with these Terms and all applicable laws
- All information you provide is accurate and current
2. Description of Service
2.1 Core Functionality
Doxsia is an AI-powered business document generation platform that provides:
- Automated generation of business proposals, contracts, and quotes
- AI-powered document creation based on your project descriptions
- Customizable document templates and formatting options
- Document preview, editing, and refinement capabilities
- Export functionality in multiple formats (PDF, Microsoft Word)
- Secure cloud-based document access and management
2.2 Service Nature
Important Clarifications:
- Generated documents are created using artificial intelligence and large language models
- Documents are served dynamically based on your inputs and requirements
- We do not provide legal, financial, or professional advice
- All generated documents should be reviewed by qualified professionals before use
- Document quality and suitability depend on the accuracy of inputs you provide
3. User Accounts
3.1 Account Creation and Registration
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Choose a secure password and maintain its confidentiality
- Promptly update your account information if it changes
- Notify us immediately of any unauthorized access or security breaches
You agree that:
- You are responsible for all activities under your account
- You will not share your account credentials with others
- You will not create multiple accounts to circumvent usage limitations
- You will not use another person's account without permission
3.2 Account Security
Your Responsibilities:
- Maintain the security and confidentiality of your login credentials
- Use strong passwords and enable two-factor authentication when available
- Log out of your account when using shared or public devices
- Report suspected security incidents immediately to support@doxsia.com
Our Commitments:
- Implement industry-standard security measures to protect your account
- Encrypt your password using bcrypt hashing
- Monitor for suspicious account activity
- Provide security features like two-factor authentication
3.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent, abusive, or illegal activities
- Your account is used in a manner that could harm the Service or other users
- Your payment method fails or subscription becomes delinquent
- Required by law or legal process
Upon termination:
- Your access to the Service will be immediately revoked
- Your generated documents will be deleted according to our data retention policy
- Prepaid fees are generally non-refundable unless otherwise stated
- We may retain certain data as required by law or for legitimate business purposes
4. Subscription Plans and Billing
4.1 Subscriptions
Doxsia offers its services on a subscription basis
4.2 Payment Processing
Payment Methods:
- Payments are processed securely through Paddle, our payment processor
- We accept major credit cards, PayPal, and other payment methods supported by Paddle
- By subscribing, you agree to Paddle's terms and conditions
- We do not store your payment card details on our servers
Billing Terms:
- All fees are non-refundable except as explicitly stated in Section 4.7
- Subscription fees are billed in advance on a monthly or annual basis
- Prices are stated in USD unless otherwise specified
- All fees are exclusive of applicable taxes, which you are responsible for
4.3 Billing Cycle and Automatic Renewal
Subscription Renewal:
- Subscriptions automatically renew at the end of each billing period
- You will be charged the then-current rate for your subscription tier
- Document generation limits reset at the start of each billing cycle
- You can cancel auto-renewal at any time from your account settings
Billing Date:
- Monthly subscriptions renew on the same day each month
- Annual subscriptions renew on the anniversary of your initial subscription
- If renewal falls on an invalid date (e.g., February 30), it renews on the last day of that month
4.4 Free Trial and Free Plan
Free Credits:
- New users receive a specific number of free document generation credits
- Free credits are non-transferable and cannot be exchanged for cash
- Limited to one free trial per user/email address
Free Trial Conversion:
- Paid subscription features become immediately available
- First billing occurs immediately upon upgrade
4.5 Price Changes
Notification:
- We reserve the right to modify subscription prices
- You will receive at least 30 days' advance notice of price changes via email
- Price changes will not affect your current billing cycle
- Continued use after price increase constitutes acceptance
Your Options:
- Cancel your subscription before the price increase takes effect
- Downgrade to a lower-tier plan with different pricing
- Accept the new pricing by continuing your subscription
4.6 Overage and Usage Limits
Document Generation Limits:
- Each plan includes a specified number of document generations per month
- Unused generations do not roll over to the next billing period
- If you exceed your plan's limit, you will be prompted to upgrade or wait until next cycle
Fair Use Policy:
- Excessive usage that impacts service performance may be restricted
- We may contact you to discuss upgrading if usage significantly exceeds plan limits
- Automated or bulk document generation may require Enterprise plan
4.7 Cancellation and Refunds
Cancellation:
- You may cancel your subscription at any time through your account settings.
- Cancellation takes effect at the end of your current billing period.
- You retain access to paid features until the end of your billing period.
Refund Policy:
- Refund Window: You are eligible for a full refund if you request it within 14 days of your purchase.
- Refunds are processed without any qualifiers or exceptions.
- If you experience technical issues that prevent you from using the Service, you may request a refund within the 14-day window.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for lawful business purposes, including:
- Generating business proposals, contracts, and quotes
- Creating professional documents for your business or organization
- Exporting documents for use in your business operations
- Integrating with your business workflows and tools
5.2 Prohibited Activities
You agree NOT to:
Misuse of Service:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Generate documents intended to deceive, defraud, or mislead others
- Create false, misleading, or materially inaccurate documents
- Use the Service to violate any applicable laws or regulations
- Generate documents containing hate speech, harassment, or discriminatory content
Security and Access:
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent security features or access controls
- Use automated tools to access the Service without authorization (except approved API usage)
- Interfere with or disrupt the Service or servers/networks connected to it
Intellectual Property:
- Copy, modify, or distribute our proprietary software or content
- Remove copyright notices, trademarks, or proprietary markings
- Use our trademarks, logos, or brand without written permission
- Claim ownership of documents generated by our AI as your original work in contexts where disclosure is required
Account Misuse:
- Share your account credentials or allow unauthorized access
- Create multiple accounts to circumvent usage limitations
- Resell or redistribute the Service without authorization
- Use the Service on behalf of third parties without an appropriate plan
Resource Abuse:
- Exceed fair usage limits or engage in excessive bulk generation
- Use the Service in ways that degrade performance for other users
- Upload malicious code, viruses, or harmful content
- Conduct load testing or penetration testing without prior authorization
5.3 Content Standards
When providing inputs to the Service, you must ensure:
- Content does not violate intellectual property rights of others
- Information is accurate and not misleading
- Content does not contain personally identifiable information of third parties without consent
- Material complies with all applicable data protection laws
- Content is appropriate for business use
5.4 Consequences of Violations
Violation of this Acceptable Use Policy may result in:
- Warning and request to cease prohibited activity
- Temporary suspension of account access
- Permanent termination of account without refund
- Legal action and reporting to authorities if required
- Liability for damages caused by your violations
6. Intellectual Property Rights
6.1 Doxsia's Intellectual Property
Our Ownership:
The Service, including all software, designs, text, graphics, logos, user interface, visual interfaces, code, algorithms, and other content, is owned by Doxsia and protected by:
- Copyright laws
- Trademark laws
- Patent rights
- Trade secret protections
- Other intellectual property laws
Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Service or software without our explicit written permission.
6.2 Your Content and Generated Documents
Your Ownership:
- You retain all rights to the inputs, descriptions, and requirements you provide
- You own the generated documents created using our Service
- We do not claim ownership of your business content or generated documents
License Grant to Doxsia:
By using the Service, you grant us a limited, non-exclusive, worldwide license to:
- Process your inputs through our AI systems to generate documents
- Store generated documents temporarily in our database for your access
- Use anonymized, aggregated data to improve our Service (without identifying you)
- Display your inputs and generated documents back to you through our interface
Important Clarification:
- We do NOT use your specific inputs or generated documents to train our AI models
- We do NOT share your documents with other users or third parties
- All processing is done solely to provide the Service to you
6.3 AI-Generated Content
Nature of AI-Generated Documents:
- Documents are created by artificial intelligence based on your inputs
- AI may generate content similar to existing works due to training data
- You are responsible for reviewing documents for accuracy and originality
- We make no warranties about uniqueness or originality of generated content
Your Responsibility:
- Review all generated documents for accuracy, completeness, and legal compliance
- Ensure generated documents do not infringe third-party rights
- Make necessary modifications to suit your specific requirements
- Verify legal and factual accuracy with qualified professionals
6.4 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Service:
- We may use such feedback without obligation or compensation to you
- You grant us a perpetual, irrevocable, worldwide license to use such feedback
- We own all rights to improvements or features developed from your feedback
7. Third-Party Services and Integrations
7.1 Third-Party AI Providers
The Service uses third-party AI services, including:
- Google For natural language processing and document generation
- Your use of these underlying services is subject to their respective terms
- We are not responsible for changes, interruptions, or discontinuation of third-party services
7.2 Payment Processing
Paddle:
- All payment processing is handled by Paddle
- You agree to Paddle's terms of service and privacy policy
- We are not responsible for payment processing errors or disputes with Paddle
- Contact Paddle support for payment-specific issues
7.3 Export and Integration Services
Document Export:
- PDF generation uses industry-standard libraries
- Word document generation may use Microsoft-compatible formats
- We are not responsible for compatibility issues with specific software versions
7.4 Third-Party Links
The Service may contain links to third-party websites or services. We:
- Do not endorse or control third-party content
- Are not responsible for third-party privacy practices or content
- Encourage you to review third-party terms and policies
8. Service Availability and Support
8.1 Service Uptime
Our Commitment:
- We strive to maintain 99.5% uptime for the Service
- Planned maintenance will be announced in advance when possible
- We do not guarantee uninterrupted or error-free service
Service Interruptions:
- May occur due to maintenance, upgrades, or technical issues
- May result from third-party service provider outages
- Force majeure events (natural disasters, network failures, etc.)
- Security incidents requiring immediate action
8.2 Support Services

- Free Plan: Email support with 72-hour response time (business days)

Out of Scope:

- Extensive document editing or customization

- Technical support for third-party software or integrations
8.3 Service Modifications
We reserve the right to:
- Modify, update, or discontinue features of the Service
- Change pricing for new subscriptions (with notice for existing subscribers)
- Add or remove document types or templates
- Update AI models and generation capabilities
- Implement new restrictions or usage limits
Notification:
- Material changes will be announced via email or in-app notifications
- Non-material changes may be implemented without advance notice
- Continued use after changes constitutes acceptance
9. Data and Privacy

- You can delete individual documents at any time
- Deleted documents are permanently removed within 30 days
Closed Accounts:
- Account data is deleted or anonymized within 30 days
- Some data may be retained as required by law (e.g., billing records)
- Anonymized usage statistics may be retained for analytics
9.4 Your Responsibilities
You are responsible for:
- Ensuring you have the right to input and share information with our Service
- Not including personally identifiable information of third parties without consent
- Complying with data protection laws applicable to your use
- Obtaining necessary consents for processing personal data

10. Disclaimers and Limitations of Liability

- Non-infringement
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Freedom from viruses or harmful components
10.2 AI-Generated Content Disclaimer
Important Limitations:
- AI-generated documents may contain errors, inaccuracies, or inappropriate content
- We do not guarantee the accuracy, completeness, or legal validity of generated documents
- Generated documents are NOT legal, financial, or professional advice
- You must review and verify all generated content before use
- We are not liable for consequences of using generated documents without proper review
Professional Review Required:
- All generated contracts should be reviewed by qualified legal counsel
- Financial projections and quotes should be verified by accountants
- Industry-specific requirements should be confirmed by relevant experts
10.3 No Professional Advice
We are not providing:
- Legal advice or attorney-client relationship
- Financial, investment, or accounting advice
- Business consulting or strategic advice
- Industry-specific regulatory compliance guidance
- Medical, health, or safety advice
Recommendation: Consult with qualified professionals (attorneys, accountants, consultants) before relying on generated documents for important business decisions.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Cost of substitute products or services
- Business interruption or loss of use
- Errors or inaccuracies in generated documents
- Decisions made based on Service-generated content
- Third-party actions or content
- Unauthorized access to your account or data
Our total liability:
- Shall not exceed the amount you paid to us in the 12 months preceding the claim
- For free users, liability is limited to $100 USD
Exceptions: Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such cases, these limitations may not apply to you.
10.5 Indemnification
You agree to indemnify, defend, and hold harmless Doxsia, its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content you provide or generate using the Service
- Your violation of any applicable laws or regulations
- Decisions made or actions taken based on generated documents
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Zambia, without regard to its conflict of law provisions.
For international users: If you are accessing the Service from outside Zambia, you agree that local laws may apply to your use of the Service.
11.2 Informal Dispute Resolution
Before initiating formal proceedings:

- We will attempt to resolve disputes amicably and in good faith
- Allow 30 days for informal resolution before pursuing formal action
11.3 Venue and Jurisdiction
If arbitration does not apply or is prohibited:
- Exclusive jurisdiction: Courts of Zambia
- You consent to personal jurisdiction in these courts
- Any actions must be filed within Zambia
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Doxsia regarding the Service and supersede all prior agreements, understandings, or representations.
12.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction:
- The remaining provisions will remain in full force and effect
- The invalid provision will be modified to the minimum extent necessary to make it valid
- The intent and purpose of the Terms will be preserved
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of:

- Any other right or provision
- Future enforcement of the same provision
Any waiver must be in writing and signed by an authorized representative of Doxsia.
12.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights hereunder without our prior written consent.
Our Rights:
We may assign these Terms or delegate our obligations without restriction, including in connection with:
- Merger, acquisition, or sale of assets
- Corporate reorganization
- Transfer to an affiliate or subsidiary
12.5 Force Majeure
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:
- Natural disasters (earthquakes, floods, fires)
- War, terrorism, civil unrest, or government actions
- Labor disputes or strikes
- Internet or telecommunications failures
- Third-party service provider outages
- Pandemics or health emergencies
12.6 Relationship of Parties
Independent Contractors:
You and Doxsia are independent contractors. These Terms do not create:
- Partnership, joint venture, or agency relationship
- Employment relationship
- Franchise or distributor relationship
- Authority to bind the other party
12.7 Survival
The following provisions shall survive termination of these Terms:
- Intellectual Property Rights (Section 6)
- Disclaimers and Limitations of Liability (Section 10)

- Any provisions that by their nature should survive
